TERMS OF SERVICE

These Terms of Service ("Terms") govern access to and use of the Rentral platform, including any websites, applications, software, APIs, and related services (collectively, the "Platform").

The Platform is operated by **Rentral Inc.** ("Rentral", "we", "us", or "our"). Legal notices may be sent to: **legal@rentralglobal.com**

By accessing or using the Platform, you agree to be bound by these Terms.

If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. DEFINITIONS

  • **User**: Any individual who creates an account or accesses the Platform.
  • **Business**: Any entity using the Platform to list assets or manage rental operations.
  • **Location**: A subdivision or operational branch associated with a Business.
  • **Listing**: A digital representation of an asset offered for rent.
  • **Booking**: A rental reservation or transaction facilitated through or recorded within the Platform.
  • **Plan**: A subscription tier purchased by a User or Business.
  • **Add-On**: Additional features or capacity purchased in connection with a Plan.
  • **Platform Fees**: Subscription fees, commissions, or other charges payable to Rentral.
  • **Connected Account**: A third-party payment account linked to the Platform (e.g., Stripe).

2. NATURE OF THE PLATFORM

2.1 Marketplace Software Provider

Rentral provides software tools enabling Users and Businesses to create Listings, manage rental operations, and, where enabled, facilitate Bookings.

Rentral is not:

  • A party to rental agreements between Users and Businesses
  • A merchant of record for rental transactions
  • An insurer
  • A guarantor of performance
  • A property manager
  • A payment processor

2.2 No Control Over Inventory

Rentral does not own, possess, control, inspect, verify, or guarantee any asset listed on the Platform.

All rental agreements are solely between the renting parties.

2.3 Payment Processing

Subscription payments and, where applicable, Booking payments are processed by third-party payment providers (e.g., Stripe). Rentral does not directly hold customer rental funds.

Use of any payment provider is subject to that provider’s terms.

3. ELIGIBILITY

You must:

  • Be at least 18 years old
  • Have legal capacity to enter binding contracts
  • Provide accurate and complete registration information

You are responsible for safeguarding your login credentials.

4. SUBSCRIPTIONS, PLANS, AND BILLING

4.1 Subscription Structure

Access to certain features requires a paid Plan. Plans may include usage limits such as:

  • Number of Listings
  • Number of Locations
  • Number of employee accounts
  • Feature access

Add-Ons expand or modify Plan limits.

4.2 Billing and Renewal

Subscriptions renew automatically unless cancelled before the renewal date.

Fees are charged through the designated payment provider.

4.3 Failed Payments

If payment fails:

  • The payment provider may retry automatically
  • A grace period may apply
  • Access may be suspended if payment is not resolved

Rentral may immediately suspend accounts for fraud or abuse.

4.4 Downgrades and Plan Enforcement

If a Plan is downgraded or expires:

  • Features exceeding Plan limits may be restricted
  • Listings or Locations exceeding permitted limits may be deactivated
  • Rentral is not liable for business interruption resulting from Plan changes

4.5 Price Changes

Rentral may modify pricing at its discretion. Changes take effect at the next billing cycle following notice.

4.6 Refunds

Fees are non-refundable except where required by law.

5. COMMISSIONS AND FUTURE TRANSACTION FEES

Rentral may charge commissions or transaction fees for Bookings processed through the Platform.

Where applicable:

  • Platform Fees may be deducted automatically via a Connected Account
  • Businesses are responsible for chargebacks, disputes, refunds, and tax compliance

6. USER CONTENT AND LISTINGS

6.1 Ownership

Users retain ownership of content submitted to the Platform.

6.2 License to Rentral

You grant Rentral a worldwide, non-exclusive, royalty-free license to host, reproduce, modify, display, distribute, and promote your content for purposes of operating and marketing the Platform.

6.3 Representations

You represent that:

  • You have rights to all content uploaded
  • Listings are accurate and lawful
  • You comply with all applicable regulations

7. PROHIBITED CONDUCT

You may not:

  • List unlawful items or services
  • Violate any law or regulation
  • Post fraudulent or misleading information
  • Upload malware
  • Interfere with Platform security
  • Circumvent payment obligations

Rentral may remove content or terminate accounts at its sole discretion.

8. REGULATORY COMPLIANCE

Users and Businesses are solely responsible for:

  • Licensing
  • Permits
  • Insurance
  • Consumer protection compliance
  • Tax obligations
  • Zoning and housing laws
  • Vehicle or equipment regulations

Rentral does not verify regulatory compliance.

9. INSURANCE AND RISK

Rentral does not provide insurance coverage.

All rentals occur at the sole risk of the renting parties.

10. INTELLECTUAL PROPERTY

The Platform, including software, branding, and design, is owned by Rentral and protected by intellectual property laws.

You may not copy, reverse engineer, distribute, or create derivative works without authorization.

11. TERMINATION

Rentral may suspend or terminate access:

  • For violation of these Terms
  • For fraud or illegal activity
  • For non-payment

Upon termination:

  • Access ceases immediately
  • Data may be deleted after a reasonable period
  • Financial records may be retained as required by law

12. DISCLAIMERS

The Platform is provided "AS IS" and "AS AVAILABLE."

Rentral disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability
  • Accuracy of Listings

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Rentral’s total liability shall not exceed the greater of:

  • The fees paid by you to Rentral in the 12 months preceding the claim
  • CAD $1,000

Rentral shall not be liable for:

  • Indirect or consequential damages
  • Lost profits
  • Loss of data
  • Business interruption

14. INDEMNIFICATION

You agree to indemnify and hold harmless Rentral from claims arising from:

  • Your Listings
  • Your use of the Platform
  • Regulatory violations
  • Rental disputes

15. DISPUTE RESOLUTION

15.1 Arbitration

All disputes shall be resolved by binding arbitration seated in Ontario, Canada.

15.2 Class Action Waiver

You waive the right to participate in class actions.

15.3 Small Claims Exception

Claims eligible for small claims court may be brought there.

16. FORCE MAJEURE

Rentral is not liable for failure to perform due to events beyond its control.

17. MODIFICATIONS

Rentral may modify these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

18. GOVERNING LAW

These Terms are governed by the laws of Ontario, Canada.
